When a publicly funded Research and Development Center (FFRDC) or a State-Run Laboratory (GOGO) is the lead organization of a project team, ARPA-E implements a funding agreement directly with the FFRDC or GOGO and a single, separate cooperation agreement with the rest of the project team. Notwithstanding the use of multiple agreements, the FFRDC or gogo is the main organization of the entire project, including all work carried out by the FFRDC or GOGO and the rest of the project team. ARPA-E has prepared the following contractual documents. The use of a standardized agreement speeds up the procurement negotiation process and reduces the administrative burden associated with the active management of ARPA-E projects. The main beneficiaries are required to pass on certain administrative and national requirements to their subcontractors through subawards or related agreements. These requirements are described in the funding opportunity announcement and Appendix 1 of the ARPA-E Model Cooperation Agreement. The contractual cooperation clauses to be paid to sub-beneficiaries shall be set out in plain text in the agreement. For example, all forms of Annex 2 (intellectual property provisions) require beneficiaries to transmit the relevant intellectual property clauses to their sub-beneficiaries, and Annex 6 (National Policy Assurances) contains several requirements that must be passed on to the sub-beneficiaries. In addition, ARPA E winners may wish to lower any cooperation agreement clause imposing on the principal beneficiary an obligation that may be affected by the actions of a sub-beneficiary. Some examples in Schedule 1 are clause 9 (foreign work and travel), clause 10 (purchases), clause 13 (publications), clause 19 (audits) and clause 26 (applicable cost principles). We looked at Apple`s contracts and confidentiality agreements and picked a few highlights: Apple`s legendary efforts to keep upcoming products secret are well known, but the terms of the agreements between suppliers and workers were unveiled in part on Friday thanks to newly sealed court records. – Work Permit – A funding vehicle used when a publicly funded research and development center (FFRDC) is a DOE laboratory within a project team.

The authorization to work is executed directly with the DOE laboratory, separate from the cooperation agreement that is executed with the other members of the team. – Inter-Agency Agreement (BIT) – An agreement between two government authorities (excluding DOE National Labs). If a lab (non-DOE) is a member of the project team, ARPA-E can perform an IAA directly with the national non-DOE lab entity.
